Terms of sale

These terms of sale govern the sale of physical and digital products on the momentum-marketing.ch shop, operated by Déforel Momentum Marketing, a Swiss sole proprietorship, Chemin de la Vyborne 4, 1184 Luins (VD), UID CHE-286.074.453. Contact: contact@momentum-marketing.ch.
Article 1 : Products
The shop offers physical marketing tools (NFC plates and stands, stickers, table stands, printed cards) and digital products (content templates). Visuals shown on the site are illustrative: every personalised product gets its own client-specific design, approved before production.
Article 2 : Prices and delivery
Prices are in Swiss francs (CHF). VAT not applicable: the business is not VAT-registered. Delivery is free, within Switzerland only. Digital products are delivered by email, free of shipping costs.
Article 3 : Ordering and payment
Payment is processed online by Stripe (card, TWINT, Apple Pay and other methods shown at checkout). The contract is concluded upon receipt of the order confirmation email. Momentum may refuse an order for legitimate reasons (obvious pricing error, suspected fraud, unavailable product); any amounts already paid are then fully refunded.
Article 4 : Personalisation and proof approval
After ordering a personalised product, the client is contacted (email or phone) to define the content: visual identity, destination link, texts. A design proof is submitted for approval. Production only starts after approval; delivery times run from that point. Changes requested after approval may be invoiced.
Article 5 : Delivery times
Indicative times from design approval: personalised NFC products, 2 to 3 weeks; printed materials, 5 to 10 business days; digital products, 48 hours. A delay does not give rise to damages, but the client may cancel the order for a full refund if the delay exceeds 30 days beyond the indicative time.
Article 6 : Returns and defects
Swiss law does not provide a statutory right of withdrawal for online purchases. Personalised products are neither taken back nor exchanged, except in case of defect. If a product is defective, damaged on delivery or does not match the approved design, the client reports it within 7 days to contact@momentum-marketing.ch (with photos): the product is replaced or refunded, at Momentum's discretion.
Article 7 : Link operation and liability
NFC/QR products redirect to web addresses configured by Momentum at the client's request and modifiable free of charge. Momentum undertakes to maintain this redirection service; should it cease, destination links would be communicated to the client for reprogramming. Momentum's liability is limited to the price paid for the product concerned. Momentum is not responsible for the content of destination pages (Google listing, the client's social networks) nor for decisions of third-party platforms.
Article 8 : Third-party trademarks
Google, Instagram, Facebook and other brands mentioned or represented on the products belong to their respective owners. Momentum products are independent accessories designed to ease access to those services; they are not official products of, affiliated with, or endorsed by those companies.
Article 9 : Licence and use of digital products
Digital products (content templates, Canva files and layouts) are sold under a personal, non-exclusive licence, reserved for the client and their own business. The client may customise and reuse them without limit for their own needs. However, it is forbidden to share, resell, redistribute, transfer, make available or publish these files, in whole or in part, to third parties, whether free of charge or for a fee. The files remain the intellectual property of Déforel Momentum Marketing; only a licence to use is granted, never an assignment of rights. Any breach results in the immediate termination of the licence and may engage the client's liability.
Article 10 : Agency services: scope
Momentum provides a monthly marketing service: producing and publishing social media content, and building and steering Meta Ads campaigns. The services included are those of the package accepted by the client (Premium or Full Package), as displayed on the website on the day of subscription and confirmed in writing. Anything outside that scope is quoted separately.
Article 11 : Term, renewal and termination
The subscription runs for an initial term of 3 months from the first day of service. It then renews automatically, month to month. After the initial term, either party may end it at the end of a calendar month, with 30 days' notice by email to contact@momentum-marketing.ch. Termination during the initial term remains possible but gives no right to a refund of months already started. Momentum may terminate without notice in case of persistent non-payment or of a request contrary to the law or to platform rules.
Article 12 : Price, invoicing and late payment
The monthly price is that of the accepted package. It is invoiced in advance at the start of each monthly period and payable within 10 days. VAT not applicable: the business is not VAT registered. Rates may be adjusted for the following period with 60 days' written notice; the client may then terminate as of the date the new rate takes effect. If payment is more than 15 days late, Momentum may suspend the services after a written reminder, without that suspension releasing the client from the amounts due.
Article 13 : Advertising budget
The advertising budget paid to the platforms (Meta, ChatGPT Ads or others) is not included in the subscription price. Its amount is agreed with the client, who pays it directly to the platform from their own payment method, on their own ad account. Momentum neither advances nor invoices this budget, and takes no commission on it.
Article 14 : Client cooperation and content approval
The client provides Momentum with the necessary access (Facebook page, Instagram account, ad account) as well as the material needed to create: logo, photographs, information about their services and prices. An editorial calendar is shared in advance. If the client does not respond within 3 business days of a content being sent, it is deemed approved and may be published. Delays attributable to the client (access not granted, no approval, missing material) do not extend the subscription term and give no right to postponement or refund.
Article 15 : Ownership of accounts and content
The client's pages, accounts and ad accounts remain their property at all times: Momentum acts as a manager, never as the holder. At the end of the engagement, Momentum removes itself from these accounts within 7 days and returns the access and material in its possession. Content produced and paid for under the subscription belongs to the client, who may keep and reuse it freely, including after the contract ends. Momentum reserves the right to name the client and to show the work produced as a commercial reference, unless the client requests otherwise in writing.
Article 16 : Results, means and liability
Momentum commits to the means described in the accepted package, not to a commercial result. The number of enquiries, clients or the revenue obtained depend on factors Momentum does not control: the client's offer, their responsiveness, their market, the season and platform decisions. No figure is guaranteed; the examples, simulations and calculators shown on the website are illustrations and do not constitute a commitment. Momentum is not liable for suspensions, restrictions or rule changes decided by third-party platforms. Except in case of gross negligence or wilful misconduct, Momentum's liability is limited to the amount invoiced for the last three months of subscription.
Article 17 : Governing law and jurisdiction
These terms are governed by Swiss law. Subject to mandatory legal provisions, the place of jurisdiction is the registered seat of Déforel Momentum Marketing, canton of Vaud.
